Churchill Capital Corp XI shareholders have approved the SPAC’s proposed business combination with Agility Robotics, advancing the humanoid robot maker’s planned move into public markets. More than 84% of votes cast at a special meeting on November 2 supported the deal.

The transaction is expected to close on November 4, with the combined company set to begin trading on Nasdaq on November 5 under the ticker AGLT. The agreement values Agility at $2.5 billion in pre-money equity value. Existing Agility shareholders are expected to roll their equity into the combined company rather than receive cash.

Agility is expected to receive approximately $465 million in gross capital before expenses. The figure is lower than the more than $620 million in gross proceeds anticipated when the merger was announced in June. The companies now expect about $164 million from Churchill XI’s trust account, approximately $201 million from a private investment in public equity led by Foxconn, and $100 million in equity funding Agility received after the initial SPAC announcement.

The proceeds are intended to support commercial expansion, customer deployments and manufacturing capacity as Agility scales its Digit humanoid business. The robots are already operating in nine customer environments, with logistics and manufacturing among the company’s main commercial markets.

Agility’s relationship with GXO Logistics began in 2023, and the companies signed a multi-year Robots-as-a-Service agreement in 2024 to deploy Digit at GXO’s Flowery Branch, Georgia, facility. The robot has worked alongside existing automation to move totes and place them on conveyors. In October, the companies announced plans to expand deployments to GXO facilities in Statesville, North Carolina, and Lebanon, Tennessee. Digit is expected to begin handling repetitive material-moving tasks there in early 2027, initially using Digit 4, with a planned transition to Digit 5 when that model becomes commercially available.

In manufacturing, agricultural equipment maker AGCO signed an agreement in October to pilot Digit at its production facility in Hesston, Kansas, beginning in 2027. Initial tasks are expected to include sorting and stacking parts and placing totes for storage.

Agility has said it has more than $300 million in committed multi-year orders for Digit 5, unveiled in September. The company expects to begin early customer access in the first half of 2027 and is targeting general availability by the end of that year. The order value is expected to be realized over time and is subject to contractual milestones, product features and specifications; it does not represent current revenue.

Agility’s RoboFab facility in Salem, Oregon, is designed to produce up to 10,000 robots annually. The company is also expanding its software, deployment and service capabilities, including through its Agility Arc fleet-management platform.
